Philip Fayer, President and Chief Executive Officer

Mr. Fayer founded Pivotal Payments in 2003 to make payment processing more accessible to small and mid-sized businesses. The company has since expanded to provide merchant services to large corporations, chains and franchises. Today, Pivotal Payments serves more than 60,000 merchants in North America and the United Kingdom, has 400 employees and processes over US$10 billion in annual transaction volume.

Mr. Fayer's leadership is broadly recognized, having been named one of Canada's Top 40 Under 40 for 2009 as well as receiving the Ernst & Young award for Emerging Business in 2003. Under his leadership, the organization was a finalist for the top 50 best managed companies in Canada by Deloitte and Touche.

Lester Fernandes, Chief Financial Officer

Mr. Fernandes is Senior Vice-President & Chief Financial Officer of Pivotal Payments. He first joined in 2001 as CFO to a predecessor company of Pivotal Payments. Mr. Fernandes has over 15 years' experience in banking and was Managing Director, Corporate & Investment Banking, BMO Nesbitt Burns, a subsidiary of Bank of Montreal. Before that he worked in the corporate finance field including corporate banking at Bank of Montreal and structured finance with Bankers Trust, NY. Mr. Fernandes is responsible for all the financial, administrative and legal affairs for Pivotal Payments' group of companies along with successfully completing numerous acquisitions over the last 5 years.

Mr. Fernandes has a BSc (Honors Psychology, McMaster University), MBA (Finance, McGill University) and is a member of the Institute of Corporate Directors. He is a board member of Pivotal Payments and a member of the board and Audit Committee for Castle Resources Inc.

Frank LoSchiavo, Senior Vice-President of Sales and Marketing

Mr. LoSchiavo is responsible for the management of all global sales and marketing efforts at Pivotal Payments. He has more than 30 years of experience in sales and marketing specifically in the merchant service processing industry.

Before joining Pivotal Payments, Mr. LoSchiavo has served with a number of organizations such as CitiBank, First Data, Cardservice International, and CyberSource.

Keith Birdsong, Chief Technology Officer

Keith Birdsong is responsible for Pivotal Payments' Information Technology services. This includes the operation and enhancement of the back office, processing systems and network infrastructure. He is responsible for the overall technology direction and leadership of the network and development teams.

Mr. Birdsong has more than 25 years of IT experience in a variety of technical and leadership roles with a number of organizations, including Torchmark Corporation, Heartland Payment Systems and Electronic Data Systems. Prior to joining Pivotal Payments, Mr. Birdsong was the Director of Software Development at Torchmark Corporation.

Mr. Birdsong holds a Bachelor degree in Business Administration from the Texas A&M University.

Damian Tanenbaum, Vice-President of Operations

Mr. Tanenbaum is responsible for all aspects of client boarding, underwriting, risk management, deployment, activations, ongoing loss prevention, support and relationship management. In addition, he ensures that clients' needs are handled by caring people dedicated to following efficient processes, providing repeated quality service and adding value while building ever lasting relationships.

Mr. Tanenbaum has more than 20 years of experience in strategic planning, people management, sales and support roles with a number of organizations. Before joining Pivotal Payments, he was Vice President at Fifth Third.

Mr. Tanenbaum attended the University of Maryland, Hagerstown Community College and Frostburg State University.

Barry Kwasny, VP Product

Mr. Kwasny is responsible for business continuity, disaster recovery and industry compliance. He oversees the network and infrastructure activities within the corporations' Canadian and U.S. based facilities.

Mr. Kwasny has more than 25 years of experience in operations, development and technical support with a number of organizations, including First Data Corporation, CyberCash and other Independent Sales Organizations. Before joining Pivotal Payments, Mr. Kwasny was a member of the Development Support and Technical Integration team of First Data's Telemoney Services Division and Internet Commerce Group.

Patrick Huynh, Vice-President of Client Services

Mr. Huynh began his career at Pivotal Payments as Vice President of Business Development where he was responsible for Pivotal Payments' Ecommerce Solutions group. Today, Mr. Huynh is Vice President of Client Services where he oversees major account management, relationship management and client retention.

Mr. Huynh has more than 10 years of experience in management and business development with a number of organizations in payment processing as well as other industries. Before joining Pivotal Payments, Mr. Huynh was Vice-President of Marketing at Verifi, Inc.

Mr. Huynh holds a BComm degree from the McGill University.
