After signing up for a merchant account with Pivotal Payments, merchant will open a Shopzilla Advertising Account. After merchant meets eligibility requirements, an amount equivalent to (3%) of the merchant's average monthly credit card volume, as calculated based on that merchant's historical monthly average, will be deposited in that account. The credit shall be deposited in the account in three (3) equal monthly installments. In order to be eligible for the credit, the merchant's monthly processing volume must be no less than eighty percent (80%) of the established historical monthly average, as determined at the end of the first full calendar month of processing. The first credit installment will be deposited in the account after 1 full calendar month of processing. For greater clarity, eligibility calculations shall be based on volume processed exclusive of refunds and chargebacks. Pivotal reserves the right to modify the deposit of subsequent installments should the merchant's monthly processing volume fall below said 80% threshold.
